Upon registration as a paid subscriber of this service, you will receive a unique user name and password. It is your obligation to maintain the security of this login information. It is agreed that you will notify CasePrepPlus.com™, by means of the “Contact” tab feature on this site, if there is any unauthorized use of your login information.

You agree to defend, indemnify and hold ClientsQuarterly, LLC, its agents, servants, employees and contractors, harmless from any and all liabilities, costs, expenses and attorneys’ fees relating to any claim, action, settlement or judgment arising from your use and/or violation of this service and the terms herein. Under no circumstances shall ClientsQuarterly, LLC be liable for any damages whatsoever from your use of this service including, without limitation, direct, indirect, incidental, special, punitive or consequential damages that result in any way from your use of or inability to use this service, or your reliance on or use of the content or information of this service, which may include content or information provided on or accessible through this service, or that result from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation or transmission, or any failure of performance.

Restrictions on Use. The contents of this site are for your (user/subscriber) personal, non-commercial, use only. All materials contained on this site are protected by copyright, and are owned or controlled by ClientsQuarterly, LLC. You may download and/or make copies of the contents for your personal, non-commercial, use only. Copying or storing of any content for other than your personal, non-commercial, use is expressly prohibited. Other than your personal use, you may not sell, license or distribute any part of the CasePrepPlus.com site, including its case summaries, research features, database or archives, to any third party or third parties for any commercial purpose.

Force Majeure. Publisher’s performance under this Agreement is subject to interruption and delay due to causes beyond its reasonable control, such as acts of God, acts of any government, war or other hostility, civil disorder, the elements, fire, explosion, power failure, equipment failure, industrial or labor disputes or inability to obtain necessary supplies.

Notices. All notices by user/subscriber must be made in writing by letter to Publisher at ClientsQuarterly, LLC, 2901 Clint Moore Rd. #241, Boca Raton, FL 33496, by email to info@CasePrepPrepPlus.com or by fax to ClientsQuarterly, LLC at (561) 451-2979. Publisher’s notices to user/subsriber may be made by e-mail, fax or letter to the addresses and/or numbers indicated in user/subscriber’s account information.

Jurisdiction, Non-Assignability and Other Matters. This Agreement will be governed by and construed under the laws of the State of Florida, without regard to conflict of laws provisions. User/Subscriber agrees that the state courts of Florida, with original jurisdiction in Palm Beach County, will have exclusive jurisdiction over any claim arising out of the use/subscription of this site, and agrees to accept service of process at the address listed in subscriber’s account information. The use/subscription to this site may not be assigned, sublicensed or otherwise transferred without Publisher’s prior written consent. Should any provision of this Agreement be held void, invalid, unenforceable or illegal by a court, the validity and enforceability of the other provisions will not be affected. Failure of either party to enforce any provision of this Agreement will not constitute or be construed as a waiver of such provision or of the right to enforce such provision. The headings and captions contained in this Agreement are inserted for convenience only and do not constitute a part hereof.

Cancellation. A subscription can be cancelled at any time by sending a notice in accordance with the terms herein. A pro rated refund will be given based on the date when the notice is received. Pro rated refunds for quarterly and yearly subscriptions will be based on the full monthly rate, not the discounted rates for quarterly and yearly subscriptions.

Effect of Agreement. This Agreement embodies the entire understanding between the parties with respect to the subject matter of this Agreement and, except as otherwise provided herein, supersedes any and all prior understandings and agreements, oral or written, relating to the subject matter. The Publisher shall not be bound by any condition, printed or otherwise, appearing on any extrinsic documents unless dated and subscribed by user/subscriber and publisher.
